Public Offer for Suburban Rail Transportation by Boarding Passes

  1. General Provisions

1.1. This offer is addressed to legal entities (hereinafter – the Customer) and constitutes the official public offer (offer) of Aeroexpress Limited Liability Company (INN 5047066172) (hereinafter – Aeroexpress) to conclude a transportation agreement for suburban rail transportation from Domodedovo airports (Domodedovo, Moscow Region) or Sheremetyevo (Khimki, Moscow Region) to railway stations Kievsky, Pavletsky, or Belorussky in Moscow, respectively, and/or in the opposite direction under the conditions specified below, in accordance with Article 437 of the Civil Code of the Russian Federation. This public offer contains all essential conditions of the transportation agreement. The transportation agreement is considered concluded and comes into effect upon the legal entity's performance of the actions provided by the offer, indicating the unconditional acceptance of all the terms of the offer by the legal entity without any reservations or limitations, under the conditions of adhesion.

1.2. The transportation agreement is concluded by the Customer's acceptance of this offer. Acceptance of the offer is performed by the Customer carrying out the actions specified in paragraphs 4.1 and 4.2 of this offer, which signify complete and unconditional agreement with the terms of the offer. By accepting the terms of this offer, the Customer agrees unconditionally to the conditions of the public offer for suburban rail transportation.

  1. Terms and Definitions

2.1. Offer – the text of this document with all appendices, amendments, and supplements, published on the Aeroexpress website and available on the Internet at: https://aeroexpress.ru/aero/partners/corporate/offerta.html

2.2. Customer – a legal entity capable of accepting the offer (in terms of entering into the Agreement) or having accepted the offer (in terms of executing the concluded Agreement).

2.3. Agreement – the transportation agreement concluded between Aeroexpress and the Customer by accepting the offer, for transporting the Customer’s passengers by Aeroexpress suburban trains from Domodedovo airports (Domodedovo, Moscow Region) or Sheremetyevo (Khimki, Moscow Region) to railway stations Kievsky, Pavletsky, or Belorussky in Moscow, respectively, and/or in the opposite direction under the terms of this offer.

2.4. Acceptance of the Offer – complete and unconditional acceptance of the offer by performing the actions specified in this offer, which creates the Agreement between the Customer and Aeroexpress.

  1. Subject of the Agreement

3.1. Aeroexpress provides the Customer with passenger transportation services on Aeroexpress trains based on the boarding passes transferred to the Customer under the Agreement for one-way travel in standard class without seat assignments in accordance with the Rules for Providing Passenger, Hand Luggage, and Baggage Transportation Services on Aeroexpress Trains, which are Appendix No. 1 to this offer, and the Customer undertakes to accept and pay for these services.

  1. Procedure for Concluding the Agreement and Receiving Boarding Passes

4.1. After reviewing the offer containing the terms of the Agreement and agreeing to it, the Customer sends an application for joining the offer to Aeroexpress at the email address oferta@aeroexpress.ru in the form provided in Appendix No. 2 to this offer. The application for joining the offer must include:

  • Date of transportation;
  • Route of transportation;
  • Number of required boarding passes and selected tariff;
  • Name, registration details, and bank details of the Customer.

The application for joining the Agreement must be signed by an authorized person of the Customer and stamped. Aeroexpress will issue an invoice for the payment of boarding passes to the Customer within 1 (one) working day from the receipt of the Customer's acceptance.

The invoice is issued based on the price specified for the selected tariff, published on the official Aeroexpress website at: https://aeroexpress.ru/aero/partners/corporate/offerta/tariff_posadochnyi.pdf

The minimum number of boarding passes to be purchased by the Customer under the Agreement is 100 pieces.

4.2. Within 5 (five) working days from the date of receipt of the invoice for boarding passes from Aeroexpress, the Customer must pay the invoice.

4.3. Within 5 (five) working days from the date of receipt of funds by Aeroexpress for the payment of boarding passes, Aeroexpress will provide the Customer with the paid boarding passes.

4.4. The issuance of boarding passes is carried out by an act of acceptance and transfer at the Aeroexpress office located at: Moscow Region, Khimki, Sheremetyevo Airport, Aeroexpress Terminal, 4th floor, by providing a link to an archive file containing the boarding passes and a password to the archive file. Aeroexpress will notify the Customer of any changes in the address for issuing boarding passes by sending a corresponding notification to the Customer's email address. The boarding passes are received by the Customer's representative based on the appropriate power of attorney issued by the Customer.

4.5. Boarding passes purchased under the Agreement are non-exchangeable and non-refundable.

4.6. When dealing with boarding passes, the Customer must follow the Boarding Pass Printing Rules with QR code contained in Appendix No. 3 to the offer.

  1. Procedure for Providing Primary Accounting Documents

5.1. The reporting period under the concluded Agreement is the calendar month.

5.2. The moment of providing transportation services using the boarding passes issued under the Agreement is when the pass is validated at Aeroexpress’s turnstile control line.

5.3. Each month, no later than the 5th (fifth) working day of the month following the reporting period, Aeroexpress prepares and sends to the Customer at the postal address specified in the acceptance of the offer, in 2 (two) copies, a universal transfer document (hereinafter – UTD, recommended by the letter of the Federal Tax Service of the Russian Federation No. MMV-20-3/96@ dated October 21, 2013) for the total number and cost of the actual services provided. After the UTD is approved, the Customer must send one original of the signed UTD to Aeroexpress’s postal address as specified in section 10 of the offer.

5.4. At the end of the reporting period in which the validity of the boarding pass expires, regardless of whether the pass was used and the trip was made, the service is considered fully provided, and Aeroexpress includes all unused boarding passes of the Customer with expired validity in the UTD as used boarding passes for which the transportation service was fully provided. The cost of the unused trip is non-refundable and is not subject to compensation or offset.

5.5. In case of loss, theft, exposure of boarding passes to moisture and aggressive environments, mechanical damage, destruction, or other circumstances leading to the inability to read the QR code printed on the boarding pass at the control device, the boarding pass (information carrier) and the cost of the unused trip are non-refundable and are not subject to compensation or offset. Services for such boarding passes are considered provided, recorded, and reflected in accordance with paragraphs 5.3 and 5.4 of the offer.

  1. Procedure for Handling Claims Regarding Boarding Passes

6.1. If the Customer identifies issues with the boarding passes (except for cases mentioned in paragraph 5.5 of the offer), the Customer must submit to Aeroexpress, no later than 5 (five) days before the expiration of the boarding pass, a claim letter signed by the head of the Customer organization in the form specified in Appendix No. 4 to the offer, indicating the actual circumstances and essence of the claim. The claim letter must include the numbers of the boarding passes that lost functionality.

6.2. The claim letter and boarding pass(es) are submitted by the Customer's representative to Aeroexpress staff (information desk employee) at: 125047, Moscow, Tverskaya Zastava Square, Building 7, Belorussky Station, Aeroexpress Terminal, Information Desk.

6.3. For each claim, Aeroexpress will conduct an investigation and technical expertise within the time frame established by Russian legislation, with subsequent conclusions about the causes of the boarding passes' malfunction.

6.4. In the case of established faults in the boarding pass (information carrier) (except for cases mentioned in paragraph 5.5 of the offer) or Aeroexpress’s turnstile lines, Aeroexpress will return the cost of the boarding pass to the Customer's account specified in the claim letter.

  1. Confidentiality

7.1. The parties undertake to maintain the confidentiality of the information obtained during the execution of the Agreement. Confidential information (hereinafter – Confidential Information) includes information obtained within the framework of the Agreement that is not publicly available and whose disclosure could lead to losses and/or affect the business reputation of either party, including, but not limited to, the volumes and terms of settlement between the parties.

7.2. The receipt, transmission, and processing of Confidential Information under the Agreement must be carried out only by authorized representatives of the parties.

7.3. Upon termination of the Agreement, each party undertakes not to disclose or use for its own benefit and/or the benefit of third parties any Confidential Information received from the other party for a period of 3 (three) years from the date of termination of the Agreement.

7.4. Each party is not liable in case of transfer of Confidential Information to government authorities entitled to request such information under Russian law. In such cases, the other party must be notified in writing about the government authority’s request within 3 (three) working days from the moment of such request for Confidential Information.

  1. Term of Agreement and Termination Procedure

8.1. The Agreement comes into effect from the moment of acceptance of the offer by the Customer and remains valid until the moment of complete settlement between the parties for the provided transportation services.

8.2. The Agreement may be terminated by mutual consent of the parties, as well as unilaterally with 30 (thirty) calendar days' written notice by either party to the other party.

8.3. In case of violation of the terms of the Agreement by the Customer, Aeroexpress reserves the right to terminate the Agreement unilaterally with immediate effect.

  1. Final Provisions

9.1. In matters not regulated by this offer, the parties are guided by the current legislation of the Russian Federation.

9.2. All disputes and disagreements arising from the Agreement shall be resolved by the parties through negotiations. If the parties fail to reach an agreement, the dispute shall be resolved in the court at the location of Aeroexpress in accordance with Russian law.

9.3. Aeroexpress reserves the right to make amendments and additions to the offer. Changes and additions come into effect upon their publication on the website of Aeroexpress.

to the public offer for the provision of transportation services
by suburban railway transport

RULES FOR THE PROVISION OF SERVICES FOR THE TRANSPORTATION OF PASSENGERS, HAND LUGGAGE, AND BAGGAGE IN ELECTRIC TRAINS OF LLC "AEROEXPRESS"

  1. General Provisions

1.1. These Rules for the provision of services for the transportation of passengers, hand luggage, and baggage in electric trains of LLC "Aeroexpress" (hereinafter referred to as the Rules) are developed in accordance with the requirements of the following regulatory documents:

  • Federal Law of the Russian Federation dated January 10, 2003, No. 18-FZ "Charter of Railway Transport of the Russian Federation";
  • Rules for the provision of transportation services on railway transport for passengers, as well as cargo, baggage, and freight baggage for personal, family, household, and other needs not related to entrepreneurial activity, approved by the Decree of the Government of the Russian Federation dated May 27, 2021, No. 810;
  • Rules for the transportation of passengers, baggage, and freight baggage by railway transport, approved by the Order of the Ministry of Transport of the Russian Federation dated September 5, 2022, No. 352;
  • other regulatory legal acts of the Russian Federation.

1.2. These Rules govern the conditions for the transportation of passengers, hand luggage, and baggage in electric trains of LLC "Aeroexpress" (hereinafter referred to as the Company).

2. Passenger Transportation

2.1. To travel on LLC "Aeroexpress" electric trains, the passenger must:

  • purchase a one-way or round-trip ticket, or a subscription ticket in the prescribed form;
  • keep the purchased travel document (ticket) for the entire duration of the train journey until exiting through the travel document control point. A passenger who fails to present a travel document (ticket) when exiting through the control point is considered to be traveling without a ticket and must pay the travel cost;
  • present the travel document (ticket) to personnel performing control – onboard ticket inspectors (attendants) on the train;
  • present the travel document (ticket) to personnel performing control – onboard ticket inspectors (attendants) when boarding a business-class car;
  • during ticket checks on the train, provide the onboard ticket inspector (attendant) with documents confirming the right to benefits (if the passenger is entitled to them);
  • boarding and travel in business-class cars are permitted only upon presentation of a valid travel document (ticket) for this category of car.

2.2. The validity periods of travel documents (tickets) are determined by the current tariff system of the Company.

2.3. If the validity of the travel document (ticket) expires during the passenger’s journey, the travel document (ticket) remains valid until the passenger arrives at their destination.

2.4. Passengers are entitled to transport children under the age of seven (7) free of charge. If there is doubt about the age of children traveling for free, onboard ticket inspectors (attendants) have the right to request documents confirming the child’s age. For children over seven (7) years old, a travel document (ticket) must be issued at the adult passenger fare.

2.5. Single and subscription tickets issued by other suburban carriers with tariffs differing from the Company’s current tariff system are not valid on LLC "Aeroexpress" trains. A passenger presenting such tickets is considered to be without a ticket and will be charged the full cost of travel according to the established tariff for this type of transportation.

2.6. A passenger is entitled to occupy only one seat per ticket. If no free seats are available in the car, standing travel is permitted, and the travel cost does not change.

2.7. Free travel documents (tickets) will not be issued if the passenger fails to provide or improperly presents the required documents confirming the right to free travel.

2.8. Issuance of a travel document (ticket) to a person entitled to free travel is carried out upon presentation of an identity document and documents confirming the stated right, or based on information about individuals entitled to free suburban railway transport services, provided electronically using the individual insurance account number of the passenger by operators of information systems containing such data, including the validity period and details of documents confirming this right.

2.9. Certain categories of citizens are entitled to priority issuance of travel documents (tickets) in accordance with the legislation of the Russian Federation.

2.10. For each accident involving a passenger during their journey on LLC "Aeroexpress" electric trains, an accident report on railway transport (Appendix 1 to these Rules) is prepared and handed over to the injured passenger or another person authorized to receive the report.

3. Specifics of Passenger Transportation Using Electronic Travel Documents (Tickets)

3.1. Electronic travel documents (tickets) are sold via the official website https://aeroexpress.ru/, the mobile application of LLC "Aeroexpress," as well as through agents' websites, mobile applications, special equipment, and tablets.

3.2. The issuance of free or discounted electronic travel documents (tickets) is only carried out if the passenger provides confirmation of their entitlement to the benefit when purchasing the electronic ticket.

3.3. A passenger traveling on an LLC "Aeroexpress" electric train with an electronic travel document (ticket) that is invalid during a control check is considered to be traveling without a ticket.

3.4. A passenger entitled to free or discounted travel, traveling with a free or discounted electronic travel document (ticket), who presents during the control check an identity document or other documents confirming their entitlement, but whose details do not match the information provided when the ticket was issued, is considered to be traveling without a ticket.

3.5. Subscription electronic travel documents (tickets) are not issued.

4. Refund of Funds Paid for Travel

4.1. Refunds for unused single-trip tickets on LLC "Aeroexpress" electric trains are not provided, except in cases where the passenger receives a full refund due to an unplanned interruption in train services of LLC "Aeroexpress" lasting more than one hour. Refunds for unused tickets in such cases are made during the unplanned service interruption at the departure station or through a claims process.

4.2. Refunds for unused or partially unused subscription tickets are provided by LLC "Aeroexpress" after the passenger submits a written application at LLC "Aeroexpress" ticket offices at Kievsky Station.

4.3. The refund amount is calculated by dividing the cost of the subscription ticket by the number of days the ticket is valid or the number of trips, and multiplying it by the actual number of days remaining until the ticket’s expiration or the number of unused trips. If the subscription ticket is refunded before its validity period begins (or before trips are made), the full cost of the subscription ticket is refunded.

4.4. Refunds for unused or partially unused subscription tickets are made within 10 days from the date the passenger submits a written application.

4.5. In all cases of refunds for unused or partially unused travel documents (tickets), all travel documents (tickets) and receipts for various fees (originals) remain with the Carrier and serve as the basis for issuing the refund.

4.6. Refunds for unused travel documents (tickets) paid for by non-cash payment or using a payment card are credited to the bank account of the legal entity or individual who paid for the travel document (ticket).

4.7. Lost or damaged travel documents (tickets) for LLC "Aeroexpress" electric trains are not reissued, and no refunds are provided for them.

4.8. If the journey on LLC "Aeroexpress" electric trains is interrupted due to reasons attributable to the passenger, no refunds are provided for the untraveled portion of the journey using a single-trip travel document (ticket).

4.9. Claims related to the quality of passenger, hand luggage, and baggage transportation services on LLC "Aeroexpress" electric trains are reviewed within 30 days from the date of receipt. Claims can be submitted via the feedback form on the official LLC "Aeroexpress" website, in the mobile application, at LLC "Aeroexpress" points of sale, or to LLC "Aeroexpress" hotline operators.

5. Transportation of Hand Luggage

5.1. A passenger is entitled to transport hand luggage weighing no more than 36 kilograms, with dimensions not exceeding 180 cm in total for all three measurements, free of charge per travel document (ticket). Hand luggage includes items transported by passengers regardless of their nature or packaging, provided they fit within the passenger car in spaces designated for hand luggage placement based on the car’s design features. Such hand luggage, regardless of its type and packaging, must be placed in a way that does not inconvenience other passengers.

5.2. In LLC "Aeroexpress" electric trains, passengers are allowed to transport up to 50 kg of hand luggage beyond the established limit without additional charges.

5.3. It is prohibited to place hand luggage in the aisles between seats, in car corridors, or vestibules. Passengers with children and individuals with disabilities who have limited mobility are allowed to transport, without charge, beyond the established hand luggage limit, baby or mobility strollers and other technical rehabilitation devices necessary for their movement.

5.4. Passengers are allowed to transport one or more pairs of skis (snowboards) in a single case free of charge in LLC "Aeroexpress" electric trains.

5.5. Items (objects) that may damage or soil the car and the belongings of other passengers, as well as odorous, flammable, poisonous, highly flammable, explosive, and other hazardous substances, are not accepted for transportation as hand luggage.

5.6. The transportation of firearms and ammunition as hand luggage by individuals or legal entities is carried out in accordance with the requirements of Federal Law No. 150-FZ dated December 13, 1996, "On Weapons."

5.7. If a passenger is found to be transporting prohibited items (objects) as hand luggage, the carrier will take measures to remove the passenger and their hand luggage from the train if the passenger refuses to remove the prohibited hand luggage voluntarily.

5.8. Small domestic animals, cats, dogs (excluding large, service, and guide dogs), and birds must be transported in boxes, baskets, cages, or containers and placed in designated hand luggage areas to prevent harm to passengers, personnel, or the carrier’s property. Owners or accompanying persons must ensure compliance with sanitary and hygienic standards in the car.

5.9. Large and service dogs may be transported in muzzles and on leashes under the supervision of their owners or accompanying persons. Small dogs may also be transported without a container in muzzles and on leashes, while cats are transported under the supervision of their owners or accompanying persons.

5.10. Guide dogs accompanying individuals with disabilities are transported in all types of cars free of charge and without the need for travel documents. The guide dog must wear a collar and muzzle and remain at the feet of the passenger they accompany.

5.11. The transportation of small domestic animals, dogs, cats, and birds is allowed beyond the established hand luggage limit, provided it complies with veterinary regulations.

5.12. Ensuring the safety and security of hand luggage transported by passengers is the responsibility of the passenger.

6. Prohibited Actions for Passengers

6.1. In LLC "Aeroexpress" electric trains, it is prohibited to:

  • wear dirty clothing with unpleasant odors that may soil the car or belongings of other passengers;
  • use cars and infrastructure facilities for entrepreneurial or other income-generating activities, as well as for charitable activities, without the carrier’s written permission;
  • place hand luggage on passenger seats;
  • allow children under the age of 7 to travel unaccompanied by adults;
  • transport animals prohibited for transportation as hand luggage;
  • consume alcoholic beverages or be in an intoxicated state;
  • obstruct the opening or closing of automatic doors at stops or open doors while the train is in motion;
  • damage interior equipment, windows of locomotives, or cars;
  • disturb the peace of other passengers, use musical instruments and sound amplification devices (except for hearing aids and headphones), gamble, or litter;
  • stop the train unnecessarily by activating the emergency brake;
  • smoke, use nicotine-containing products in train cars, including in vestibules, or use hookahs.

6.2. A passenger may be removed from the train:

  • by law enforcement officers if, during boarding or travel, the passenger violates travel rules, public order, or disturbs the peace of other passengers. In such cases, no refund is provided for the untraveled portion of the journey;
  • by onboard ticket inspectors (attendants) if the passenger is traveling without a valid ticket, with an invalid ticket, or with a ticket issued for a regular suburban train, and refuses to pay the travel cost in accordance with established rules.

7. Rights of Onboard Ticket Inspectors (Attendants)

7.1. Onboard ticket inspectors (attendants) have the right to:

  • check travel documents (tickets) on LLC "Aeroexpress" electric trains, as well as during boarding in business-class cars;
  • verify documents confirming the right to benefits (if the passenger is entitled to them) on LLC "Aeroexpress" electric trains;
  • charge passengers traveling without valid travel documents (tickets) the cost of travel according to the established tariff and a fee for the service of issuing a travel document (ticket). If a ticketless individual refuses to purchase a ticket, the onboard ticket inspector (attendant) shall prepare an act, signed by the ticketless individual, in two copies (one remains with the onboard ticket inspector, the other is given to the ticketless individual);
  • collect the travel cost and applicable service fee for the transportation of children over the age of seven (7) years without tickets;
  • take measures to remove passengers from the train if they refuse to pay for their travel.
